Administrative Safeguards means the administrative actions, policies and procedures to manage the selection, development, implementation and maintenance of security measures to protect PHI and to manage the conduct of Business Associate’s workforce in relation to the protection of that PHI.

Safeguarding means measures or controls that are prescribed to protect information systems.

Safeguard Policy Statement or “SPS” means ADB's Safeguard Policy Statement [2009];

Standard of Conduct means the standard for conduct by Indemnitee that is a condition precedent to indemnification of Indemnitee hereunder against Indemnifiable Losses relating to, arising out of or resulting from an Indemnifiable Claim. The Standard of Conduct is [i] good faith and a reasonable belief by Indemnitee that his action was in or not opposed to the best interests of the Company and, with respect to any criminal action or proceeding, that Indemnitee had no reasonable cause to believe that his conduct was unlawful, or [ii] any other applicable standard of conduct that may hereafter be substituted under Section 145[a] or [b] of the Delaware General Corporation Law or any successor to such provision[s].

Highly restricted personal information means an individual’s photograph or image, social security number, digitized signature, and medical and disability information.

Unsecured Protected Health Information means protected health information that is not secured by a technology standard that renders protected health information unusable, unreadable, or indecipherable to unauthorized individuals and is developed or endorsed by a standards developing organization that is accredited by the American National Standards Institute.

Customer Information means any information contained on a customer’s application or other form and all nonpublic personal information about a customer that a party receives from the other party. Customer Information shall include, but not be limited to, name, address, telephone number, social security number, health information and personal financial information [which may include consumer account number].

The HIPAA Privacy Rule means the Standards for Privacy of Individually Identifiable Health Information at 45 CFR Part 160 and Part 164, Subparts A and E.

Standard Operating Procedures means the service standards and quality assurance systems prepared/stipulated by DoHFW.

Technical safeguards means the technology and the policy and procedures for its use that protect electronic PHI and control access to it.

Senior procurement executive means the Deputy Chief Acquisition Officer.

Involuntary Resettlement Safeguards means the principles and requirements set forth in Chapter V, Appendix 2, and Appendix 4 [as applicable] of the SPS;

Standard of Care In the absence of willful misfeasance, bad faith, gross negligence or reckless disregard of obligations or duties hereunder on the part of the U.K. Sub-Advisor, the U.K. Sub-Advisor shall not be subject to liability to the Sub-Advisor, the Advisor, the Trust or to any shareholder of the Portfolio for any act or omission in the course of, or connected with, rendering services hereunder or for any losses that may be sustained in the purchase, holding or sale of any security. 9.

Intimidating, threatening, abusive, or harming conduct means, but is not limited to, conduct that does the following:

Electronic and Information Resources Accessibility Standards means the accessibility standards for electronic and information resources contained in Title 1 Texas Administrative Code Chapter 213.

Safeguard means any procedures, practices, or actions with respect to the Project, a Site or Work for the purpose of preventing, mitigating, or containing foreseeable accidents, injuries, damage, release of hazardous material or environmental harm.
